Outside General Counsel Services
Richard B. Marrin, the firm’s founder, advises and serves as outside general counsel and business advisor to a select group of small to medium-size privately held companies. Richard provides his clients with strategic advice as well as day to day guidance in among other things, business operations, governance, compliance and risk management, dispute resolution, litigation, and exits.
Richard currently serves as general counsel to a multinational proprietary asset management group with businesses and joint ventures across industries including real estate development, construction, food & beverage, healthcare and IT. He is also general counsel in the Middle East for a chain of famed international steakhouses. He has previously served as general counsel in the Middle East and North Africa for the world's leading enterprise resource planning solution.
Richard is assisted by a small team of paralegals and consultants. He maintains a top quality network of legal, financial, and consulting firms in virtually every country of the world, each possessing different areas of substantive expertise to assist or jointly handle a particular matter as needed. This approach ensures that each client matter is staffed according to its specific requirements.
Joint Ventures and Consortiums
Successful international and cross-border joint ventures require a thorough understanding of the factual, commercial, legal, and regulatory environments on the ground where the businesses operate, as well as in the consortium's governing jurisdictions, particularly when foreign shareholding is involved. The Firm advises and represents clients in businesses such as IT, food & beverage, manufacturing, construction, and homebuilding in all stages of joint ventures, strategic alliances, and consortiums.

Corporate and Commercial Transactions
RB Marrin advises small, mid-size, and publicly-listed companies, as well as high-net-worth investors and individuals from industries such as manufacturing, healthcare, information technology, agriculture, commercial & residential real estate development, construction, sports & entertainment, food & beverage, and private equity involved in complex, cross-border corporate and commercial transactions including mergers and acquisitions, joint ventures, licensing, corporate reorganizations, and global expansions.
IT and SaaS
RB Marrin frequently negotiates on behalf of clients with customers, partners, contractors, and vendors in connection with IT consulting and implementation agreements, software distribution, end-user license, subscription, cloud and SaaS agreements, supply chain agreements, value added reseller agreements, maintenance and support agreements, outsourcing, off-shoring and hosting agreements, cooperation agreements and other agreements involving data and intellectual property. The firm advises US and non-US licensors and licensees of sports and entertainment rights, and has represented buyers and sellers of IT businesses in transactions in the US, Europe, and the Middle East.

Years of experience providing managers, officers, and directors with corporate governance and legal counseling enables RB Marrin to give clients and their entities advice and board secretarial services, including preparing shareholder and board resolutions, agendas, presentations, and minutes of director and shareholder meetings as required in the client’s business formation documents. Governance, Compliance, and Risk Management

We advise clients on the best possible governance, risk and compliance structures and mitigation strategies based on the individual client’s goals and the regulations of the relevant jurisdictions.
It is essential that US businesses and individuals, as well as non-US companies and individuals doing business with US companies, comply with the US Foreign Corrupt Practices Act, the US Department of the Treasury’s Office of Foreign Assets Control, and other US and non-US anti-bribery and anti-corruption legislation in the context of dealing with both public officials and the private sector. We create for clients bespoke codes of ethics and anti-bribery / anti-corruption policies and procedures, and provide tailored FCPA training to executives, management, and other potentially exposed personnel so they are aware as to what may be happening around them and know what to do in the event something seems awry.
Litigation & Dispute Resolution
RB Marrin has significant experience advising on a broad range of civil disputes, arbitrations, litigations, and judicial hearings within the United States, Europe, and the Middle East, and represents US and non-US companies in matters before United States federal and state courts and administrative hearings, in connection with corporate and commercial litigations, employment and insurance coverage disputes, breach of contracts, torts and personal injury and other disputes.
The Firm regularly analyses US, non-US, and international law, and has extensive experience conducting legal discovery, due diligences, and other investigations in the United States and in countries around the world.
Commercial Contingency
The Firm selectively represents businesses and individuals in commercial transactions and disputes on a contingency basis. The model is straightforward - we earn our fees when we succeed. This practice allows clients involved in complex commercial transactions or disputes to avoid significant cash disbursements, preserving the potential for substantial recoveries or transaction monetization.
About Us
A fourth generation Fordham Law School educated New York City lawyer, the Firm’s founder, Richard B. Marrin, possesses a strong academic background and a wealth of domestic and international legal and commercial experience, making Richard and his Firm a unique advisor for companies, investors, entrepreneurs, and high-net-worth individuals transacting business both in the United States and internationally.
Richard’s twenty-five years of handling matters for clients from a variety of industry sectors across six continents has greatly enhanced his comparative law skills and his understanding of the norms of different markets and how to maneuver them to quickly garner pertinent facts and mobilize efforts in the best interests of his clients. Similarly, fifteen years as an expatriate living and working abroad has heightened Richard’s cultural awareness and broadened his network of relationships, enabling him to assess risk and smoothly guide clients through challenges, avoiding pitfalls by careful planning, effective communication, and acute execution.
Richard graduated from Fordham College in New York City with a Bachelor of Arts and Majors in Anthropology and English, and from Fordham University School of Law with honors and a Juris Doctorate. He is a member in good standing to the bars New York State and New Jersey State and is admitted to practice before the United States District Courts for the Southern District of New York, the United States District Courts for the Eastern District of New York, and the United States District Court for the District of New Jersey.
Richard is a passionate supporter of his alma mater Fordham University and serves as a member of the Fordham Law School Dean’s Planning Council. He is also co-founder and co-president of Fordham Law School’s Middle East alumni chapter. Richard volunteers board secretarial services for charitable and non-profit organizations, and handles various other benevolent and public interest matters pro-bono.
